The opportunity:

Legal Counsel/Senior Legal Counsel

As Legal Counsel you will work closely with the Director of Legal (UK based) and collaborate with other members of the legal team to provide legal advice on a wide variety of commercial negotiations and strategic projects for Immersive Labs, both in its operations in the Americas but also across EMEA operations and expanding global reach.

You will focus on commercial activities in the Americas (the continents of North and South America) including high value SaaS contracts with customers working closely with Sales, finance and the wider operations team. This is a varied role with scope to support larger ticket strategic, compliance and corporate matters. 

As Legal Counsel you are highly visible and have exposure to all levels across the business including the Executive. This is a great opportunity for an individual to be Immersive Labs’ sole go-to US lawyer and help shape the legal processes and strategy in the Americas and get involved in exciting projects in a fast-paced, creative and fun environment. For the right candidate, this role has considerable progression opportunities including more senior roles and the potential to build out our Americas legal team and manage that growth. 

 

Your main responsibilities:

  • Review and negotiate SaaS agreements, software agreements, customer contracts, reseller agreements, supplier contracts, data processing agreements and other types of commercial agreements.
  • Completing and maintaining accurate contract information and records in accordance with applicable processes and procedures. Being part of building and maintaining the “corporate memory” of the company. 
  • Identify and communicate key risks, present potential solutions and escalate to senior stakeholders for decisions.
  • Effectively interact with the legal team to help develop, draft, optimize and continuously improve legal processes and templated commercial agreements.
  • Handle a variety of tasks and problems in a fast-paced scale up environment.
  • Work closely with the business supporting the development of new products and services from the legal perspective and adapt to the changing needs of an expanding business.
  • Provide accessible guidance to the business on topics such as data and regulatory compliance.
  • Facilitate and maintain successful relations with external counsel, sales team and other stakeholders.
  • Take ownership of horizon gazing for upcoming legal and compliance developments that will impact the business. 

 

To be successful:

  • Team player who enjoys working as part of a legal team and wider stakeholder team. Comfortable rolling up sleeves to help the business succeed - no job is too big or small. 
  • 5+ years of relevant legal experience with expertise in commercial contract negotiation. This is a guide and not a fixed requirement. We will consider strong applicants with less or more years of qualification.
  • Strong skills in drafting contracts and ancillary documents, policies and customer communications in line with internal business needs.  
  • Take ownership of projects and tasks and see them through to timely completion.
  • United States licensed attorney with a J.D. degree and member of at least one state bar in good standing. Foundational legal training in a law firm.
  • Strong organizational skills and ability to handle and prioritize multiple negotiations and meet commercial deadlines through effective time management.
  • A global perspective, collegiate and good emotional intelligence.
  • Resourceful, confident, self-starting and comfortable with remote working and remote negotiation.
  • Honest, open and transparent, knows own strengths and limitations and seeks support when required.
  • Willingness to learn and develop other members of the team through legal and market updates and training. 
  • Ability to work independently to meet the defined objectives, mind the details while still seeing the bigger commercial picture.
  • Commercial, pragmatic and practical approach to problem solving.
  • Ability to explain complex issues and build relationships with internal stakeholders to balance high pressure business imperatives with legal and commercial risks in line with the company’s long term risk profile. 
  • It will be a bonus if you also have: 
    • Experience in a technology/SAAS business. 
    • Experience in a scale up environment.
    • Working knowledge of Sales Force and contract management systems.
